These Terms of Service (“Terms”) govern your use of the services provided by Dzane Tech LLC. (“Dzane Tech”) through its website, www.dzanetech.com (the “Website”).
By using Dzane Tech and signing up as a Client, you agree to be legally bound by these Terms and Conditions of Use, including those terms and conditions incorporated by reference. Please read these Terms carefully. If you do not accept these Terms, you may not use the Dzane Tech service. By placing any order with us, you agree to all our terms, and it is your responsibility to read and understand them. Dzane Tech may revise these Terms at any time by updating this posting. You should visit this page periodically to review the Terms, because they are binding on you.
In these Terms, all services provided by and related to Dzane Tech and all text, images, media, user interface, design layout, and content on www.dzanetech.com (including, without limitation, the selection, coordination, and arrangement of such content) are collectively referred to as the “Website” and/or the “Service.”
You acknowledge and agree that Dzane Tech reserves the right (but not the obligation), in its sole discretion, to review, refuse, or remove any project or content that violates these Terms or is otherwise objectionable, including but not limited to content that is illegal, defamatory, obscene, or infringes the rights of others. Dzane Tech may disclose your information to law enforcement if required to do so by law or in good faith belief that such action is necessary to (a) comply with legal obligations; (b) enforce these Terms; (c) respond to claims of infringement or misuse; (d) respond to customer service requests; or (e) protect the rights, safety, or property of Dzane Tech, our users, or the public.
Dzane Tech Services
- (a) Service Description
Dzane Tech is a digital service platform where Clients can request specific services such as design, development, consulting, or content creation, and receive professional work in response to detailed project instructions (“Briefs”). Dzane Tech will deliver the Service in accordance with the selected service package.
- (b) Briefs and Deliverables
Clients are responsible for providing clear, complete, and timely information in each Brief, including reference materials and deadlines. Dzane Tech will deliver initial responses (“Deliverables”) based on the submitted Brief. All Deliverables are created to meet the criteria defined in the Brief and any subsequent Revision Briefs.
- (c) Review and Revisions
Clients must promptly review Deliverables and request revisions if needed. Failure to respond within 7 business days will be deemed acceptance of the Deliverable. Clients may submit Revision Briefs to request changes. Revisions should remain within the scope of the original Brief. Dzane Tech reserves the right to charge additional fees for revisions that significantly alter the original scope.
- (d) Revision Cycles
Revisions include iterative changes to help refine the Deliverable. Significant alterations may incur additional charges, typically starting at $50, depending on scope. Revisions requiring extra cost will only proceed with client authorization.
- (e) Service Packages
Clients can choose from standard service packages listed on our Website or request custom quotes. Each package outlines the scope, timeline, and pricing structure. Add-ons and upgrades are available for additional fees.
- (f) Client Accounts and Payments
Clients must register and pay through approved payment methods (credit/debit card, PayPal, bank transfer). Upon payment, an invoice will be issued. Payment is required before work begins. Dzane Tech reserves the right to modify fees and package offerings at any time, but changes will not apply to already-paid projects.
User Registration and Security
- (a) Account Registration
When registering as a Client, you must provide accurate and complete information. You are responsible for all activities that occur under your account. Your username need not be your real name but must not misrepresent your identity or affiliation
- (b) Account Access and Security
You are responsible for maintaining the confidentiality of your login credentials. Notify Dzane Tech immediately if you suspect unauthorized access. We may impose additional security measures if misuse is suspected.
- (c) Unauthorized Access
If unauthorized access to the Website occurs due to your negligence or failure to secure your account, you agree to cooperate fully with any investigation and may be held liable for any damages caused.
Ownership and Use of Content
- (a) Client Materials
All content submitted by Clients (briefs, images, text, references) remains their property. By submitting content, you grant Dzane Tech a limited license to use, store, modify, and reproduce that content solely for the purpose of fulfilling the Service.
- (b) Dzane Tech Ownership
Unless otherwise agreed in writing, Dzane Tech retains ownership of all preliminary concepts and drafts. Upon full payment, final Deliverables become the Client’s property, except for any third-party assets that remain under their original licenses.
- (c) Third-Party Assets
Clients are responsible for securing the appropriate licenses for any third-party assets they request Dzane Tech to incorporate. Dzane Tech is not liable for unauthorized use of content provided by the Client.
Termination
Dzane Tech may terminate your access to the Website at any time, without notice, for any reason, including if you violate these Terms or engage in conduct that Dzane Tech, in its sole discretion, deems inappropriate.
Privacy and Confidentiality
Dzane Tech follows a strict privacy policy, which governs how we collect and use your personal data. We make reasonable efforts to protect Client information, but cannot guarantee absolute security. Sensitive data shared with Dzane Tech is handled with care and discretion.
Acceptable Use and Prohibited Conduct
- (a) Eligibility
You must be at least 18 years old to use our services. By registering, you represent that you meet this requirement.
- (b) Prohibited Use
You may not use the Website or Service for unlawful, abusive, or harmful purposes. This includes, but is not limited to: hacking, spreading malware, reverse engineering our systems, sending spam, impersonating others, or violating any laws or third-party rights.
- (c) Security Violations
Attempts to breach Website security may result in civil or criminal liability. Dzane Tech will cooperate with law enforcement in investigating such violations.
Website Availability and Communication
Dzane Tech strives to keep the Website accessible at all times but does not guarantee uninterrupted service. From time to time, the Website may be unavailable due to maintenance or unforeseen issues. We are not liable for delays, outages, or errors.
By using the Service, you agree to receive essential communications (project updates, invoices, customer support) via email. You may also receive newsletters or promotional content, which you can opt out of at any time.
Disclaimers and Limitations of Liability
- (a) Service Use and Content
Dzane Tech provides the Website and Service “as is” without warranties of any kind. We are not liable for the accuracy or quality of third-party materials or content provided by Clients.
- (b) Intellectual Property
You are responsible for ensuring that your use of Deliverables does not infringe on the rights of others. Dzane Tech does not warrant the legal usability of designs beyond their visual execution.
- (c) Limitation of Liability
Dzane Tech shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Website or Service, including lost profits or reputational harm.
Indemnity
You agree to indemnify and hold harmless Dzane Tech, its employees, directors, and affiliates from any claims, losses, or damages (including legal fees) arising from your use of the Service, content you provide, or your violation of these Terms.
These Terms and any disputes arising under them shall be governed by the laws of the jurisdiction in which Dzane Tech operates. You agree to submit to the exclusive jurisdiction of the courts in that location.
